The board of Gamma Communications has confirmed it is in preliminary discussions with Waterland Private Equity Investments regarding a possible offer for the entire share capital of the company.
Under the proposals, telecom services provider Giacom Group is acting in concert with Waterland to acquire specific business divisions of Gamma following any deal. Giacom is chaired by Matthew Riley and backed by private equity firm Inflexion.
Sky News first reported the discussions last week, and said the interest comes amid a process which has been running for several months and involving a “number” of other investors.
Gamma said that discussions with Waterland and other potential offerors remain ongoing.
Under Rule 2.6(a) of the Takeover Code, Waterland must either announce a firm intention to make an offer or confirm it does not intend to make an offer by 5pm on 18 September 2026.
The board of Gamma said: “These discussions remain at a preliminary stage. There can be no certainty that any offer will be made for the company nor as to the terms of any offer, if made.”
