Private equity firm Penta Capital has closed a single-asset continuation vehicle for Sumer Group, valuing the mid-market accountancy platform at approximately £1bn.
TPG GP Solutions acted as the sole lead investor in the vehicle, which provides liquidity for existing LPs and delivers follow-on capital for further M&A.
Sumer, established in 2022, provides accounting, audit, tax and advisory services to small and medium-sized enterprises across the UK and Ireland. The business employs approximately 3,500 people, generates nearly £350m in annual turnover and has completed more than 50 bolt-on acquisitions since inception.
The transaction represents the first single-asset continuation vehicle completed in the European accountancy sector, according to the firm. As part of the arrangement, Sumer refinanced its debt facilities with a lending syndicate comprising Ares, BlackRock, Pemberton and Investec.
Steven Scott, managing partner at Penta Capital, said: “We are proud of the business we have built alongside Sumer management and are delighted to welcome TPG GP Solutions as partners. There is enormous opportunity ahead for the business and we are excited to continue supporting the team over the next investment cycle.
“Our ongoing ownership allows us to drive further value via our buy-and-build expertise and active approach with portfolio companies as reflected in our track record. We look forward to all that is to come with Sumer.”
Warren Mead, chief executive of Sumer Group, added: “Our ambition has always been to build a different kind of accountancy group. We’re proud of what our people have built and we’re delighted to continue the journey alongside Penta Capital and welcome new partners in TPG GP Solutions.
“As we look to the next chapter, our strategy and commitment to our clients remain central to everything we do.”
